Terms of service

This agreement

"Yacooti", "we" and "us" means Yacooti of P.O. Box 74139 - 00200, Nairobi, Kenya. "You" means the business that uses Yacooti, usually an agency, and the people it lets into its workspace. If you accept these terms for a business, you confirm you're allowed to bind it.

Yacooti is for businesses. You must be at least 18 to use it. Our privacy policy explains how we handle personal information and forms part of these terms.

Accounts and workspaces

• Each workspace has one owner, who is responsible for it and its bill. Owners and admins can invite people and choose their role; a client reviewer sees and approves only their own client's videos.
• Keep access to your email secure, since log-in links are sent there. You're responsible for what happens in your workspace, including what the people you invite do.
• Tell us straight away at info at yacooti dot com if you think someone has got into your account.
• One free trial per agency. Don't create extra workspaces or accounts to get more trials.

Trials, plans and payment

Trials

A new workspace starts on a free trial with the length and limits shown when you sign up. No card is needed. When the trial ends, the workspace becomes read only until you choose a plan: you can still see and download everything you made.

Plans and limits

Each plan has a price and limits (videos a month, team seats, clients, video length, formats and storage), shown on our pricing and your billing page. Prices are in Kenyan shillings. The month's videos reset on the 1st of each calendar month (UTC), and unused videos don't carry over. A video that fails to be made is given back to your month.

Paying

• By card, your plan renews automatically each month or year until you cancel. Paystack charges your card at the start of each period.
• By M-Pesa, you pay for 1, 3 or 12 months ahead. It doesn't renew by itself; we remind you before it runs out.
• If a card payment fails, we'll tell you and give you a few days to fix it. If it's still unpaid after that, the workspace becomes read only until it's paid.

Changing or cancelling

• Moving to a larger plan takes effect at once. Paystack doesn't refund part of a period, so instead the unused part of your current month becomes extra videos for this month.
• Moving to a smaller plan takes effect when your paid period ends.
• Cancelling can be done at any time from the billing page. Your plan runs to the end of the period you paid for, and your videos stay available to download afterwards.

Refunds and taxes

Payments cover the period you paid for and aren't refunded if you cancel part-way, except where the law requires it or we failed to provide the service. If something went wrong, write to us and we'll put it right. Prices include any taxes we're required to charge unless the pricing page says otherwise.

We may change prices. A change applies from your next period, and we'll email the workspace owner at least 30 days before.

Your content

"Your content" is everything you put into Yacooti: briefs, brand kits, logos, photos, footage, testimonials, scripts, edits and comments. You keep all your rights in it.

You give us permission to store, copy, change and process your content, and to pass it to the services listed in our privacy policy, only as needed to make your videos and run Yacooti. This permission ends when your content is deleted, apart from copies we must keep by law.

For everything you upload or write, you confirm that:

• you own it, or have permission from whoever does, to use it for these videos (logos, photos, footage and music included);
• everyone who can be seen, heard or named in it has agreed to it being used and edited this way, and a parent or guardian has agreed for anyone under 18;
• testimonials are real, and quoted with the permission of the person who gave them;
• prices, offers, facts and claims are true and lawful to advertise.

If someone tells us your content infringes their rights, we may remove it while we look into it. To report content, write to info at yacooti dot com with what it is, where it appears and why.

The videos we make

Once made, the videos are yours, and your client's as you agree between you. You may download them, edit them and publish them anywhere, including in paid advertising, for as long as you like, even after you stop using Yacooti.

• You approve before anything is made. Scripts are written by AI from your brief, and Yacooti checks prices, figures, contact details and quotes against it. But you read and approve each script, and you are responsible for what a video says once you've approved it.
• Narration and music are AI-generated. You may use them only as part of the videos. Don't extract them to sell on their own, or use them to build or train a voice or music model.
• Labelling AI. Where a platform or the law asks you to say that a video contains AI-generated or altered content, it's your responsibility to do so. Recuts with an AI presenter carry a label if you turn it on in the brand kit.
• Our looks, templates, software and brand stay ours. Using them in your videos doesn't give you any other right to them.
• Because videos are generated, two customers can get similar results. We don't promise a video will be unique, or that it can be registered as a trade mark.

Acceptable use

Don't use Yacooti to make or publish anything that:

• is illegal, or advertises something illegal;
• misleads people: false prices, invented reviews, or health, financial or other claims you can't support;
• pretends to be a real person, or puts words in a real person's mouth, without their permission;
• infringes someone else's copyright, trade mark or privacy;
• is hateful, harassing, sexually explicit, or exploits children;
• targets elections or political campaigns with deceptive content.

And don't:

• try to get round plan limits, security, or the checks on sign-up;
• use bots or scripts to sign up, or to use Yacooti beyond what its screens allow;
• copy, resell or reverse-engineer Yacooti, or use it to build a competing product;
• overload the service, or upload anything harmful such as malware.

Data processing

When your content includes personal information about other people (clients' customers, staff, people on camera), you are its controller and we process it for you. For that information we:

• process it only to provide Yacooti, following your instructions as given through the service;
• make sure our staff and providers who handle it are bound to keep it confidential;
• protect it with the security measures our privacy policy describes;
• use only the providers listed in our privacy policy, each bound to protect it, and update that list before adding a new one;
• tell you without undue delay if a breach affects it;
• help you answer requests from the people it's about;
• delete it when you delete it from Yacooti, or when your workspace is closed, unless the law requires us to keep it.

The service

We work to keep Yacooti running and your content safe, but we can't promise it will always be available or free of errors. We'll try to warn you before planned maintenance. Yacooti relies on other companies' services (listed in our privacy policy), and we may change them, and change or remove features, as the product develops. If we remove something central to your plan, you may cancel and we'll refund the unused part of your prepaid period.

If you suggest improvements, we may use your ideas without owing you anything.

Suspension and ending

You can stop using Yacooti at any time. We may suspend or close a workspace that breaks these terms, doesn't pay, or puts the service or others at risk. Where we can, we'll warn you first and give you a chance to fix it.

After a workspace is closed, you'll have 30 days to download your videos before we delete its content, unless we closed it because of illegal content. Sections on your content's warranties, liability and disputes still apply after this agreement ends.

Warranties and liability

Apart from what these terms promise, Yacooti is provided "as is". We don't promise that videos will meet a particular result, such as more sales or approval by an advertising platform.

To the extent the law allows, we are not liable for indirect or consequential loss, such as lost profits, lost business or lost data, and our total liability to you for anything to do with Yacooti is limited to what you paid us in the 12 months before the claim. Nothing in these terms limits liability that the law doesn't allow to be limited.

You agree to cover our reasonable costs if someone brings a claim against us because of your content or how you used Yacooti in breach of these terms.

Law and disputes

These terms are governed by the laws of Kenya. If there's a disagreement, please write to us first; most things can be solved quickly. If we can't resolve it within 30 days, either of us may take it to the courts of Kenya, at Nairobi.

Changes to these terms

We may update these terms as Yacooti changes. We'll update the date at the top, and email workspace owners at least 30 days before a change that matters takes effect. If you keep using Yacooti after that, the new terms apply; if you don't accept them, you can cancel before they do.
